Welcome to TopBid.Live. These Terms of Service ("Terms") are a binding agreement between you and E2 Entertainment LLC ("TopBid," "we," "us"), the operator of topbid.live and its subdomains (the "Platform"). By creating an account, placing a bid, or otherwise using the Platform, you agree to these Terms. If you do not agree, do not use the Platform.
TopBid is a venue. We provide the technology for streamers ("Sellers") to run live auctions and for viewers ("Bidders") to bid on and purchase items. Every sale is a contract directly between the Seller and the winning Bidder. TopBid is not the seller of any item, does not take title to any item, does not take possession of any item, and is not a party to the sale. We do not guarantee any item's condition, authenticity, legality, or delivery, which are the Seller's sole responsibility.
Payments on the Platform are processed by Stripe, Inc. ("Stripe"). Each Seller appoints TopBid, and TopBid accepts the appointment, as the Seller's limited payments agent solely for the purpose of receiving, holding, and settling payments made by Bidders in connection with that Seller's sales. A Bidder's payment made through the Platform is considered payment made directly to the Seller, and satisfies the Bidder's payment obligation to the Seller for the applicable purchase, regardless of when or whether TopBid settles the related funds to the Seller. Sale proceeds are held and settled through the Seller's connected Stripe account, subject to the release schedule in Section 7.
Your winning bid is a commitment to buy. All sales are final. Items, most of which are secondhand, are sold as-is, as shown on the Seller's live stream. The live broadcast constitutes the item's description and condition report. There are no returns, exchanges, or refunds for change of mind, fit, or condition consistent with what was shown on stream.
The only claims the Platform accepts are described in Section 8, and they are limited to non-delivery.
Sellers pay TopBid a platform fee on completed sales, deducted automatically from sale proceeds at the time of the transaction. The fee applicable to your account is the fee in effect when your auction closes and is inclusive of payment processing costs, so the percentage quoted to you is the percentage you keep. Running an auction is free, and cancelling an auction before it closes is always free: nobody is charged and no fee applies. Bidders are never charged fees by TopBid.
You may not auction or sell: illegal items or items you do not have the right to sell; stolen goods; counterfeit or replica goods; firearms, ammunition, explosives, or weapons; drugs, drug paraphernalia, tobacco, nicotine, or alcohol; recalled or hazardous items; live animals; human remains or body parts; sexually explicit material; personal data; financial instruments, gift cards, or currency; items that infringe intellectual-property rights; services, appearances, performances, promotional mentions, or any other sale of a person's time or access to them rather than an item; subscriptions, memberships, tips or donations; or anything prohibited by Stripe's restricted business list. We may remove any auction and terminate any account at our discretion.
You keep ownership of the content you upload (photos, profile information, item descriptions). You grant TopBid a worldwide, non-exclusive, royalty-free license to host, display, and reproduce that content for operating and promoting the Platform. You are responsible for having the rights to everything you upload. To report content that infringes your intellectual-property rights, email support@topbid.live with the item's location, proof of your rights, and your contact information, and we will review and remove infringing material.
You can stop using the Platform at any time; Sellers can close their account by contacting support once outstanding sales are settled. We may suspend or terminate accounts, cancel auctions, or withhold Platform access for violations of these Terms, fraud, legal risk, or abuse of other users, with or without notice. Sections 2, 5, 6, 8, and 13 through 16 survive termination.
The Platform is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any item will be as expected, delivered, or lawful. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
To the maximum extent permitted by law, TopBid and its owners, employees, and agents will not be liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill, arising from or related to the Platform or any sale conducted on it. Our total aggregate liability for any claim will not exceed the greater of one hundred dollars ($100) or the platform fees you paid to TopBid in the twelve months before the event giving rise to the claim.
You will defend and hold harmless TopBid from claims, damages, and expenses (including reasonable attorneys' fees) arising from your items, your sales, your content, your use of the Platform, or your violation of these Terms or applicable law.
These Terms are governed by the laws of the State of California, without regard to conflict of law rules. Before filing any claim, you agree to contact us at support@topbid.live and attempt in good faith to resolve the dispute informally for 30 days. Disputes that cannot be resolved informally will be brought in the state or federal courts located in California, or in small claims court where eligible, and you consent to their jurisdiction.
We may update these Terms as the Platform evolves. The effective date above always reflects the current version, and material changes will be announced on the Platform. Continued use after changes take effect is acceptance of the updated Terms.
